LLC/PLLC

We offer a professional service to form your LLC (Limited Liability Company) or PLLC (Professional Limited Liability Company)  Our service includes the filing of Articles to conform with the legal requirements of each state.  The fee for the filing of the form is based on the state fee plus $30. For example, the state of California charges $70 to file the form.  We add $30 to submit the form for a charge of $100.

With every entity,  there is a requirement to have in place an ownership agreement.  For an LLC this is known as a membership agreement. We charge $2,000 to prepare the membership agreement.   Most business attorneys would charge $5,000 or more to prepare this agreement.  If you cannot show to a court a copy of the membership agreement, the court may find that the corporate veil has been pierced and subject your personal income and assets to unlimited personal liability. 

When you pay for the agreements, we also handle the filing for a Federal Employer Identification Number (FEIN aka EIN) .

Payments will be taken by Venmo or Zellem, prior to actual filing of forms with the state.  50% of the payment for the agreement is requested before the agreements are drafted.  Final payment to be made upon electronic delivery of the documents.

CORPORATION

We offer a professional service to form your Corporation.  Our service includes the filing of Articles of Incorporation with each state.  The fee for the filing of the form is based on the state fee plus $30. For example, the state of California charges $100 to file the form.  We add $50 to submit the form for a charge of $150.  There are numerous types of for profit corporations and it is imperative that you choose the corporate structure that is most appropriate for your situation.  We will provide guidance and support for the selection of the proper structure whether it be a close corporation, professional corporation, general stock corporation, social benefit corporation and so on.

All states require that corporations have in place a shareholder agreement, by-laws and a stock ledger.  We charge $3,500 to prepare these documents.  We waive the fee for the LLC filing when you pay for the operating.  Most business attorneys would charge $5,000 or more to prepare these documents.  If you cannot show to a court copies of these documents, the court may find that the corporate veil has been pierced and subject your personal income and assets to unlimited personal liability

PARTNERSHIP

There are three primary types of partnerships.

General Partnership (GP) - General Partnerships subject all partners to unlimited liability for the actions of themselves and all partners.  This is not a recommended legal structure for that reason.

Limited Liability Partnership (LLP) - An LLP has a general partner that controls that day to day business activities.  The limited partners invest and have liability protections.  This type of structure might by used by a developer to construct an apartment complex.

Limited  Partnership (LP) - An LLP is generally used by professional service providers who are often not allowed to form an LLC in various states.  For example, attorneys in California cannot for an LLC but they can form an LLP. The limited partners have liability protections.
